1. Agreement and Acceptance
These Terms of Service ("Terms") form a legal agreement between you and Linknector Inc. ("Linknector," "we," "us," or "our") governing your access to and use of the Linknector website, application, marketplace, accounts and related services.
Public website: https://www.linknector.com. References to the "Application" mean the Linknector application made available through an official Linknector channel.
By creating an account, clicking an acceptance control, accessing a restricted feature where acceptance is required, or otherwise using Linknector in a manner that indicates acceptance, you agree to these Terms and the Privacy Policy.
Do not use Linknector if you do not agree to these Terms.
2. Eligibility and Account Types
You must be legally capable of entering into a binding agreement under the laws applicable to you and must satisfy any age or eligibility requirements that apply to the service.
Linknector supports role-based accounts, including Customers, Providers and Partner Organizations. Administrator accounts are internal accounts and are not available through public registration.
You are responsible for providing accurate, current information and for keeping your account credentials secure. You must promptly notify Linknector of suspected unauthorized access.
3. The Linknector Marketplace
Linknector provides technology and marketplace services intended to connect Customers with Providers and facilitate service discovery, requests, bookings, communications and related transactions.
Unless a specific written agreement states otherwise, Linknector is not the provider of the underlying services offered by independent Providers. Providers are responsible for their services, qualifications, licenses, pricing, performance, availability and compliance with applicable law.
Information about Providers, services, pricing, availability, ratings, reviews and other marketplace information may be provided by users or third parties and may change.
Partner Organizations may participate as referral, sponsorship or institutional-collaboration organizations. A Partner Organization is distinct from a Provider and does not itself become a service Provider merely by participating on Linknector.
4. Service Requests, Matching and Bookings
Customers may submit service requests, including through Link My Need, and may receive provider matches or service options.
A request, quote, proposed price, availability indication or provider match does not necessarily create a binding booking until the required booking and payment steps are completed.
Booking status is determined by the Linknector booking and transaction workflow. Users must not represent an unconfirmed request as a confirmed booking.
Customers are responsible for providing accurate information needed to perform a requested service, including relevant scheduling and service-location information.
5. Provider Responsibilities
Providers must provide accurate business and service information and maintain all licences, permits, insurance, certifications and other qualifications required for the services they offer.
Providers are responsible for complying with applicable consumer-protection, tax, employment, professional, health and safety and other laws applicable to their business and services.
Providers must honour confirmed bookings unless cancellation or non-performance is permitted under the applicable booking or cancellation rules.
Providers must not request or use personal information obtained through Linknector for purposes unrelated to the authorized service relationship or in a manner that violates applicable law or these Terms.
6. Partner Organization Responsibilities
Partner Organizations must provide accurate organizational information and any verification material reasonably requested by Linknector.
Partner Organizations may participate in referral, sponsorship or institutional programs according to the applicable commercial arrangement.
Partner Organizations do not acquire Provider rights merely by registering as a Partner Organization.
7. Pricing, Payments and Financial Records
Prices, fees, taxes and other amounts applicable to a transaction will be presented through the applicable Linknector workflow where available. Taxes may be calculated based on the applicable jurisdiction and transaction information.
Payments may be processed through third-party payment providers. Linknector is designed not to store raw cardholder data and instead uses tokenized payment references or other processor-managed mechanisms.
Linknector may operate different payment and commercial models depending on the service category, Provider or Partner arrangement. The applicable model and financial terms may be reflected in the booking, payment, invoice or commercial documentation.
Linknector may calculate and administer platform commissions, Provider settlement amounts, Partner referral fees, payment-processing costs, taxes, refunds, financial holds, invoices and reconciliation records in accordance with the applicable commercial rules.
Transaction, tax, invoice, settlement and other financial records may be retained for legal, accounting, tax, audit, fraud-prevention and dispute purposes.
8. Payment Authorization and Failed Payments
You authorize Linknector and its selected payment provider to process authorized charges associated with your booking or other transaction.
If a payment fails, is reversed, is disputed, or cannot be completed, Linknector may suspend the affected transaction, request another payment method, delay a related service or take other reasonable steps permitted by the applicable agreement and law.
Users must not attempt to circumvent payment controls or intentionally submit unauthorized, fraudulent or misleading payment information.
9. Refunds, Cancellations and Adjustments
Refund eligibility, cancellation consequences and adjustment amounts depend on the applicable booking terms, service arrangement, Provider policy, Linknector policy and applicable law.
Where a refund is available, Linknector may process it through the original payment method or another lawful method supported by the payment provider.
Linknector may maintain separate refund, financial-hold, invoice, credit-note and reconciliation records. A financial hold may temporarily prevent settlement, transfer or payout while a financial or compliance issue is reviewed.
Nothing in this section limits non-waivable consumer rights.
10. Reviews, Ratings and User Content
Users may submit reviews, ratings, messages, photographs, documents or other content where the relevant feature permits.
You retain ownership of content you lawfully own, but you grant Linknector a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, transmit, adapt and otherwise use that content as reasonably necessary to operate, secure, improve and promote the platform, subject to the Privacy Policy and applicable law.
You must not submit content that is unlawful, defamatory, fraudulent, infringing, discriminatory, threatening, sexually exploitative, malicious, deceptive or otherwise prohibited by applicable law or these Terms.
Reviews must reflect genuine experiences. Linknector may moderate, remove or restrict content that violates platform rules or applicable law.
11. Messaging and Communications
Linknector may provide messaging and notification functions to facilitate bookings and service relationships.
Users must use messaging features only for legitimate marketplace purposes and must not use them to harass, threaten, spam, solicit unlawfully, collect personal information improperly, or bypass Linknector's transaction or safety controls.
Service and security communications may be sent as necessary to operate the platform. Commercial electronic messages will be handled in accordance with applicable law.
12. Prohibited Conduct
- Do not use Linknector to commit fraud, impersonate another person, evade identity or verification controls, manipulate reviews, circumvent fees, launder funds, facilitate illegal activity, or interfere with platform security.
- Do not attempt unauthorized access to another account, system, API, database, administrative function or financial record.
- Do not upload malware or code intended to disrupt, damage or gain unauthorized access to Linknector or another person's systems.
- Do not scrape, harvest, copy, reproduce or systematically extract platform data except where expressly permitted by Linknector.
- Do not use Linknector to discriminate unlawfully or to violate applicable privacy, consumer-protection, tax, employment, professional, health and safety or other laws.
13. Account Suspension and Termination
Linknector may suspend, restrict or terminate an account where reasonably necessary for security, fraud prevention, legal compliance, non-payment, violation of these Terms, violation of another user's rights, or protection of the platform and its users.
Where appropriate and legally permitted, Linknector may provide notice and an opportunity to resolve the issue before termination.
Termination does not automatically eliminate obligations that by their nature should survive termination, including payment obligations, intellectual-property provisions, dispute provisions, liability provisions and legally required record retention.
14. Intellectual Property
The Linknector name, branding, logos, software, interface, designs, documentation, text and other platform materials are owned by or licensed to Linknector and are protected by applicable intellectual-property laws.
Except as expressly permitted by these Terms or applicable law, you may not copy, modify, distribute, sell, reverse engineer, publicly display, create derivative works from or exploit Linknector materials.
Nothing in these Terms transfers ownership of Linknector intellectual property to you.
15. Third-Party Services
Linknector may rely on third-party services for payment processing, hosting, authentication, communications, analytics, mapping, document storage and other functionality.
Third-party services may be governed by their own terms and privacy notices. Linknector is not responsible for third-party services that it does not control, subject to applicable law.
Linknector may change, replace or discontinue third-party service providers when reasonably necessary to operate the platform.
16. Privacy
Linknector's collection and handling of personal information is described in the Linknector Privacy Policy, which forms part of the contractual framework governing your use of the platform to the extent permitted by law.
You should review the Privacy Policy before using Linknector.
17. Availability and Changes to the Platform
Linknector may modify, update, suspend or discontinue portions of the platform, including features, service categories, payment methods or integrations.
Linknector does not guarantee uninterrupted or error-free availability. Planned maintenance, third-party outages, security events, force majeure events and other circumstances may affect availability.
Where reasonably practicable, Linknector will provide notice of material changes that affect active users or transactions.
18. Disclaimers
To the maximum extent permitted by law, Linknector provides the platform on an 'as available' and 'as is' basis and does not guarantee that every Provider, service, match, review, quote, availability indication or platform feature will meet a particular expectation.
Linknector does not guarantee the quality, legality, suitability, safety, licensing, insurance, availability or performance of an independent Provider's services. Customers should exercise appropriate judgment and verify information where appropriate.
Nothing in these Terms excludes or limits any warranty, representation, right or remedy that cannot lawfully be excluded or limited.
19. Limitation of Liability
- To the maximum extent permitted by applicable law, Linknector will not be liable for indirect, incidental, special, consequential or punitive losses, or loss of profits, revenue, business opportunity, goodwill or data, arising from use of the platform or an independent Provider's services.
- To the maximum extent permitted by law, Linknector's aggregate liability arising from or relating to the platform will be limited to the amount paid by you to Linknector for the specific service giving rise to the claim, except where a greater amount is required by non-waivable law.
20. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Linknector and its officers, directors, employees and agents from claims, losses, liabilities and reasonable costs arising from your unlawful use of the platform, your violation of these Terms, your infringement of another person's rights, or your misuse of another user's personal information.
This section does not apply to the extent a claim results from Linknector's own conduct for which liability cannot lawfully be excluded.
21. Disputes and Governing Law
These Terms are intended to be governed by the laws applicable in Ontario, Canada, subject to any mandatory laws that apply to a consumer based on their place of residence.
Before formal proceedings, users are encouraged to contact Linknector at the address in Section 26 so the parties can attempt to resolve the issue.
22. Changes to These Terms
Linknector may update these Terms to reflect changes in the platform, business model, law or services.
Where required by law, Linknector will provide notice of material changes and obtain any required acceptance before applying revised terms to affected transactions.
Continued use after the effective date of an updated version may constitute acceptance where legally permitted.
23. Electronic Communications and Notices
You agree that Linknector may provide notices, agreements, transaction records and other communications electronically where permitted by law.
Commercial electronic messages will comply with applicable Canadian anti-spam requirements, including consent, identification and unsubscribe requirements where applicable.
Users are responsible for maintaining access to the email address and contact information associated with their account.
24. Accessibility
Linknector aims to provide accessible customer- and Provider-facing interfaces and targets WCAG 2.1 Level AA as a platform design standard.
If you encounter an accessibility barrier, contact Linknector so the issue can be reviewed.
25. General
These Terms, together with the Privacy Policy and any transaction-specific terms presented to you, form the agreement governing your use of Linknector to the extent permitted by law.
If any provision is found unenforceable, the remaining provisions will continue to the extent permitted by law.
Failure to enforce a provision does not waive Linknector's right to enforce it later.
These Terms do not create an employment, agency, partnership or joint-venture relationship between Linknector and a user unless expressly agreed in writing.
You may not assign your rights or obligations under these Terms except as permitted by law or with Linknector's consent. Linknector may assign these Terms in connection with a corporate transaction or restructuring, subject to applicable law.
